It takes effect only when adopted by recorded resolution of the MSK REGEN trustees. Legal operator and trustee authority
MSK REGEN’s charity trustees retain ultimate legal, financial and fiduciary responsibility and control. Trustee appointment and removal are governed exclusively by MSK REGEN’s governing document and charity law.
Reserved matters — including strategy, budgets, significant risk, partnerships and the adoption of policies — remain with the trustees.
Delegated Founding Five
The five founders act as the continuing Founding Scientific Council within written trustee delegation; they are distinct from the trustees. No founder has unilateral power to bind MSK REGEN unless a written instrument expressly grants that specific authority. A quorum is three non-conflicted founders.
No member or Fellow vote
Members and Fellows do not vote on charity or programme governance and have no right to appoint, elect, approve, remove or veto trustees, founders or programme appointments. Scientific polls and Delphi ratings are consultative or scientific only and do not bind the trustees.
Committees and the commercial firewall
A Scientific Advisory Board and named officers (including a Conflicts Officer, Complaints Officer, Designated Safeguarding Lead, Publication Integrity Lead and Methods Lead) operate under trustee delegation. Sponsorship and commercial arrangements are kept independent of scientific and editorial decisions.
